About the Firm
Pulver Law, LLC is a boutique private wealth firm in downtown Marietta representing closely held businesses, partnerships, real estate entities, and the families and principals behind them in transactions and controversies. Our docket ranges from U.S. Tax Court litigation and IRS examinations to entity formation, partnership governance, and business transactions.
The Role
We are seeking an Associate Attorney with 0-3 years of experience to support our private wealth practice, representing closely held businesses and their owners in transactions and controversies. This is a generalist position with room to specialize as your interests develop.
Responsibilities include:
Drafting and negotiating commercial contracts, purchase and sale agreements, and entity governance documents
Structuring closely held entities and advising owners on succession, buy-sell arrangements, and transfers of ownership interests
Conducting due diligence and document review for business transactions
Assisting with federal and state tax administrative proceedings
Appearing at hearings, calendar calls, and status conferences in Georgia state and federal courts
Taking and defending depositions and managing discovery from issuance through resolution
Drafting pleadings, motions, discovery, and briefs in state and federal commercial disputes
Researching and analyzing legal issues across tax, contract, and business law
Communicating directly with clients, opposing counsel, and courts
Qualifications
Required:
J.D. from an accredited law school
Admitted to practice in Georgia, or admission pending / eligible for admission by the start date
0-3 years of experience, including judicial clerkships, in-house work, and relevant clerking or internship experience
Willingness and ability to litigate and sound oral advocacy
Strong legal writing and research skills
Comfort with direct client contact and the self-direction that a small-firm environment requires
Preferred:
Accounting background (accounting degree, or public accounting or corporate tax department experience)
Prior litigation experience, including clinic work, clerkships, mock trial, or moot court
Candidates without tax experience but with strong transactional or litigation fundamentals are encouraged to apply. We are willing to train the right person.
